You provide the data set out below. It is the basis for the Listing, the Information Memorandum and the Due Diligence Report.

  • ID or passport and proof of address for each Seller
  • Share sale: proof of ownership of the shares and the number of shares held
  • Asset sale: proof of authority to sell the in-scope assets of the Target
Target-level data
  • As much as you are comfortable sharing: financial and accounting, corporate secretarial, tax filings, legal and employment, cost documentation such as leases and subscriptions, IT, assets, liabilities and customer-level revenue data
  • Supporting documents are best. A bare statement will do, but buyers will ask anyway

An anonymised listing of the Target goes live to verified buyers.

Prepared from your supporting documents, so buyer questions are answered before they are asked. A Disclosure Letter is drawn from the DDR findings and attached to the SPA to qualify the warranties you give.

The business stays anonymous until you decide to be known, so your staff, your customers and your competitors learn nothing. Your identity is released only to a buyer who has already signed.

Listings structured the way the sale is

You may appoint others to act for you on the platform, and listings of the same company can be grouped, share sale or asset sale, as you choose.

One process, one deal room

The information memorandum, disclosure letter and due-diligence pack are generated from your own inputs, with what is in and what is still missing tracked and every change logged. Term sheet and sale and purchase agreement templates are configured by the parties, and your own advisers review before signing.

Our fee falls due on completion. Nothing to list, nothing to browse, and nothing at all if the deal does not close.
